Terms of Service

Effective Date: [26/11/2024] Last Updated: [19/06/2025]

These Terms of Service (“Terms”) govern your use of RighteouSoft’s website and services. By engaging RighteouSoft for any project, or by using our website, you agree to these Terms. Please read them carefully.

RighteouSoft is a bespoke web design agency based in Dhaka, Bangladesh, providing custom WordPress and Elementor Pro website design and development services to small businesses in the United States, United Kingdom, Canada, Australia, and beyond.

RighteouSoft offers the following core services:

  • Bespoke Web Design: custom-designed, custom-built websites tailored to your brand
  • UI/UX Design: interface and experience design for websites and digital products
  • Website Upgrade: redesigns, replatforming, and performance upgrades for existing websites
  • Website Maintenance: ongoing updates, monitoring, and support for live websites

The exact scope, deliverables, timeline, and price for your project will be outlined in a separate proposal, quote, or project agreement (“Project Agreement”). If anything in a Project Agreement conflicts with these Terms, the Project Agreement takes priority for that project.

  • All quotes are based on the information and requirements you provide at the time of quoting.
  • Significant changes to scope, features, or content after a project begins may result in a revised quote and timeline.
  • Work begins only after a Project Agreement is confirmed and any required deposit is received.

  • Payment terms (deposit amount, milestone payments, and final balance) will be specified in your Project Agreement.
  • Invoices are due upon receipt unless otherwise agreed in writing.
  • Late payments may result in a pause of project work until the account is settled.
  • All fees are non-refundable once work has begun, except where required by law or explicitly agreed otherwise.
  • You are responsible for any third-party costs related to your project, such as domain registration, hosting, premium plugins, stock imagery, or licensing fees, unless these are explicitly included in your quote.

  • Each project includes a set number of revision rounds, as specified in your Project Agreement.
  • Additional revisions beyond the agreed scope may be billed at our standard hourly rate.
  • Revision requests should be consolidated and submitted together where possible, to keep your project on schedule.

Timely project delivery depends on timely collaboration. You agree to:

  • Provide requested content, brand assets, feedback, and approvals within a reasonable timeframe
  • Designate a single point of contact for feedback and approvals, where possible
  • Respond to review requests promptly to avoid delays

Delays caused by late feedback, missing content, or unresponsiveness on your end may extend the project timeline accordingly and are not the responsibility of RighteouSoft.

  • Upon full and final payment, ownership of the final custom design and code developed specifically for your project transfers to you.
  • RighteouSoft retains the right to display completed projects in our portfolio, case studies, and marketing materials, unless you request otherwise in writing.
  • Third-party tools, plugins, themes, and frameworks used in your project (such as WordPress, Elementor, WooCommerce, or licensed plugins) remain subject to their own respective licenses and are not owned by RighteouSoft or transferred to you as proprietary property.
  • You are responsible for ensuring you have the rights to any content, images, logos, or materials you provide to us for use in your project.

For clients on a Website Maintenance plan:

  • Maintenance covers the services specifically outlined in your plan (such as updates, backups, security monitoring, or minor content edits).
  • Maintenance plans do not include new feature development, design changes, or major content overhauls unless specified.
  • We are not responsible for issues caused by changes made to the website by you, your staff, or other third parties outside of RighteouSoft.
  • Maintenance plans can be cancelled with [Insert Notice Period, e.g. “30 days”] written notice.

While we design and build websites to a high professional standard, RighteouSoft does not guarantee specific business outcomes, including but not limited to search engine rankings, traffic increases, lead volume, or sales conversions. SEO and marketing outcomes depend on many factors outside our control.

Our work may involve third-party tools and platforms, including but not limited to WordPress, Elementor Pro, WooCommerce, WP Rocket, Rank Math Pro, Cloudflare, and Wordfence. We are not responsible for outages, pricing changes, policy changes, or service interruptions caused by these third-party providers.

To the fullest extent permitted by law, RighteouSoft is not liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim related to our services is limited to the amount you paid us for the specific project or service giving rise to the claim.

We treat information shared with us during a project as confidential and will not disclose it to third parties, except as necessary to complete your project or as required by law.

  • Either party may terminate a project with written notice, as outlined in the Project Agreement.
  • If you terminate a project after work has begun, you remain responsible for payment for work completed up to the point of termination.
  • RighteouSoft reserves the right to pause or terminate a project in cases of non-payment, unresponsiveness beyond [Insert Timeframe, e.g. “30 days”], or abusive conduct toward our team.

RighteouSoft is not liable for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, internet or power outages, or other unforeseeable events.

These Terms are governed by the laws of [Insert Jurisdiction, e.g. “the People’s Republic of Bangladesh”], without regard to conflict of law principles. Any disputes arising from these Terms or your engagement with RighteouSoft will be resolved through [Insert Dispute Resolution Method, e.g. “good-faith negotiation, followed by binding arbitration”].

[Note: This clause should be reviewed carefully, since RighteouSoft serves clients across multiple countries with different legal systems.]

We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
